1. Introduction

Welcome to VoIP Solutions. These Terms of Service ("Terms") govern your use of our website and the informational resources we provide under the brand "VoIP Solutions." Formal client work is governed by separate Service Agreements.

These Terms of Service were last updated on May 14, 2025. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting of the modified Terms on our website.

Throughout these Terms, we use certain defined terms:

"Services" refers to the VoIP engineering services, technical support, consultation, and any other services provided by VoIP Solutions.
"Service Agreement" refers to any separate written agreement executed between you and the individual service provider behind VoIP Solutions, for custom engineering or consulting work.
"Website" refers to the website operated by VoIP Solutions, including all content, functionality, and services offered.
"User," "You," or "Your" refers to the individual or entity accessing or using our Services.
"We," "Us," or "Our" refers to VoIP Solutions.
"Content" refers to all text, images, audio, video, or other material that appears on our Website or is provided through our Services.

3. Services

VoIP Solutions provides professional VoIP engineering services, including but not limited to VoIP infrastructure design, implementation, troubleshooting, SIP engineering, WebRTC development, and performance optimization.

The specific services to be provided will be agreed upon in a separate service agreement or statement of work, which may include additional terms and conditions. In the event of any conflict between these Terms and a service agreement, the terms of the service agreement shall prevail.

All consulting, engineering, or integration services are provided through a signed Service Agreement between the client and the individual contractor operating under the VoIP Solutions brand.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Website and all of its contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by VoIP Solutions, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Website and Services for your personal or internal business purposes. This license does not include:

Modifying or copying our materials
Using our materials for any commercial purpose or public display
Attempting to reverse engineer or decompile any software contained on our Website
Removing any copyright or other proprietary notations
Transferring the materials to another person or "mirror" the materials on any other server

4.3 Service Deliverables

Unless otherwise specified in a service agreement, upon full payment of all applicable fees, we grant you a non-exclusive, perpetual license to use the deliverables provided as part of our Services for your internal business purposes.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our Services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards. Your exclusive remedy for any breach of this warranty is for us to re-perform the Services at no additional cost.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Term and Termination

These Terms shall remain in full force and effect while you use our Website or Services. We may terminate or suspend your access to our Website or Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use our Website and Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes will be subject to arbitration under the Pakistan Arbitration Act, unless otherwise agreed in a Service Agreement.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and VoIP Solutions regarding our Website and Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

12.2 No Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.3 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, without our prior written consent. We may assign these Terms at any time without notice to you.

12.4 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permitted by law.
